Copier firmware or print system firmware? There are two different slots. I'm not sure that this machine will recognize a CF card over 32MB anyway.
But I'm trying, Ringo. I'm trying real hard... to be the Shepherd.

I typically use a 128MB CF card. There is no formatting on the card. Just unpack the firmware and copy it onto the card.

Power the MFP Off at the main switch (on top left cover). Insert CF card in the appropriate slot then power On. Do not power Off until the screen displays "Completed". If you get anxious and power off during a firmware upgrade, you'll have the world's largest paperweight. When the screen says "Completed" power Off, and remove CF card, then power On. It usually takes ~12 minutes to do the print firmware, and ~15 to do the combined firmware. If you think that it's stalled, wait at least 1/2 hour.

The print card CF slot is currently visible. You'll want only the print card firmware on the card when when you're doing this.

The CF slot for the combined firmware is under a steel cover just in front of the printer's CF slot. You'll want only the combined firmware on the card at this time. =^..^=
If you'd like a serious answer to your request:
    1) demonstrate that you've read the manual
    2) demonstrate that you made some attempt to fix it.
    3) if you're going to ask about jams include the jam code.
    4) if you're going to ask about an error code include the error code.
    5) You are the person onsite. Only you can make observations.

tried 64 and 128 mb cf card it still can't find files.

i also tried from the printer slot and under the steel plate slot.

can i format it in the pc as fat file sys. or from the machine cf slot?

Sure, you can format the card from the printer slot. Format function usually prompts by itself, but if you have to look, it's in the Print, Print Menu, Memory Card, Format ...

But you still need to delete the folders back off the card.

Did you unpack the firmware? That's the most common mistake. =..=

i unpack thru winrar to a temp folder and copy it to cf card.

do i have to copy the whole file and upack it to cf card?

i also tried unpacking it directly to the cf card.

but when inserted it to copier slot and turned on it will display : search cf and file not found"

Are you using the correct firmware files in the correct slot? I unpack the firmware files on the PC then copy them to the card. There should be nothing else on the card. No folders, nothing but the firmware, and only the files that you're using.

Are they the correct firmware files? What version? =^..^=

These are not the same levels of firmware that are current in the USA. The names are constructed differently. And you have three files, not four.

These are the file names that I expected to see:
    P2FB2911.S31
    P2FB2912.DP2
    P2FBS005.9K3
    P2FBS010.6G0

    Dated 02/18/2010

Do you trust your source of this firmware? =^..^=

i finally did it you have to extract the firmware files ONLY to the root directory of the CF card.

another question how about the scanner firmware have yo tried upgrading them? any procedure on it i'm still having trouble doing it.

    Thanks ,
